Terms and Conditions (Projects, Sales & Services)

1. General

Servotech (Pvt) Ltd provides engineering services including industrial automation, CNC retrofitting, machine supply, fabrication, and maintenance.

All quotations, sales, and services are subject to the following Terms and Conditions unless otherwise agreed in writing.

2. Quotations

  • All quotations are valid for 30 days from the date of issue unless stated otherwise.
  • Prices are based on current material, labor, and exchange rates.
  • Servotech reserves the right to revise pricing if there are significant changes in:

    • Exchange rates
    • Material costs
    • Scope of work

3. Scope of Work

  • The scope of work is strictly limited to what is stated in the quotation.
  • Any additional work, modifications, or changes requested by the customer will be:

    • Quoted separately
    • Executed only after written approval

4. Payment Terms

Unless otherwise stated:

  • Advance Payment: 50% required to commence work or confirm order
  • Progress Payment: As per project milestones (if applicable)
  • Final Payment: Before delivery, commissioning, or handover

⚠️ Servotech reserves the right to:

  • Suspend work if payments are delayed
  • Delay delivery until payments are settled

5. Delivery & Lead Time

  • Delivery timelines are estimates and depend on:

    • Material availability
    • Import conditions
    • Customer readiness (site, power, etc.)
  • Servotech is not responsible for delays caused by:

    • Shipping delays
    • Customs clearance
    • External suppliers

6. Installation & Site Requirements

The customer must provide:

  • Proper electrical supply
  • Suitable installation space
  • Safety conditions and access

Any delay due to site unpreparedness will:

  • Extend project timeline
  • May incur additional charges

7. Warranty

Servotech provides:

  • 2-Year Warranty for CNC controllers and servomotor systems (where applicable)
  • 1-Year Service Support including limited site visits
  • Warranty covers:

    • Manufacturing defects
    • Electrical failures (excluding misuse)

Warranty does NOT cover:

  • Physical damage due to operator error
  • Improper usage or negligence
  • Unauthorized modifications
  • Consumables and wear parts

8. Spare Parts & Service Guarantee

  • Servotech guarantees availability of spare parts and service support for up to 5 years
  • Spare parts and repairs beyond warranty are chargeable

9. Ownership & Risk

  • All equipment remains the property of Servotech until full payment is received
  • Risk transfers to the customer upon:

    • Delivery
    • Installation completion

10. Cancellation Policy

  • Orders cannot be cancelled after confirmation without written agreement
  • Advance payments are non-refundable once procurement or work has started

11. Limitation of Liability

Servotech is not liable for:

  • Production losses
  • Business interruptions
  • Indirect or consequential damages

Total liability is limited to the value of the supplied product/service.

12. Inspection & Acceptance

  • Customer must inspect and confirm acceptance upon:

    • Delivery
    • Installation
  • Any issues must be reported within 7 days

13. Intellectual Property

  • All designs, drawings, software, and automation logic remain the property of Servotech unless otherwise agreed
  • Unauthorized copying or duplication is strictly prohibited

14. Force Majeure

Servotech is not responsible for delays caused by:

  • Natural disasters
  • Government regulations
  • War, strikes, or unforeseen events

15. Governing Law


  1. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
  2. Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Servotech (pvt) Ltd reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. Servotech (pvt) Ltd will be authorized to suspend any provision of services without prior warning in the event of late payment.
  3. If a payment is still outstanding more than sixty (60) days after the due payment date, Servotech (pvt) Ltd reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
  4. Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Servotech (pvt) Ltd become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Servotech (pvt) Ltd in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
  5. Servotech (pvt) Ltd undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Servotech (pvt) Ltd cannot under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
  6. In order for it to be admissible, Servotech (pvt) Ltd must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.
  7. All our contractual relations will be governed exclusively by Sri Lanka law.
